The $200 covers the LLC registration itself. The table separates per-person services, per-application services and monthly services. The virtual-address fee is paid directly to the landlord; we check the premises against the tax office's address rules before you use them.

State duty, translation, notarisation and legalisation are paid separately. Representative-office accreditation, restructuring, special resident-status applications and complex ownership structures are quoted as their own engagement. A nominee address or director does not replace real management of the company.

What the $200 fee includes

  • Advice on the right form (LLC and alternatives) and founding structure before anything is filed
  • Checking and reserving the company name in the registry: Latin script, no restricted words, and the reservation held for 60 days while the documents are collected
  • Drafting the founding documents in Uzbek: the founding decision and charter for a single founder, plus the foundation agreement where there are several
  • Powers of attorney where a founder cannot sign in person, with the apostille or consular legalization a document issued abroad needs
  • Guidance through identification, apostille and translation requirements for foreign founders' documents
  • Selecting the main and additional activity codes and declaring the beneficial owner in the application
  • Advice on the tax regime, which is chosen in the registration application itself
  • Filing with the registration authority and follow-up until the certificate is issued; the taxpayer number is assigned at filing, and we check the tax office record afterwards
  • The digital signature, bank account application and, where the activity needs one, the license or notification and online cash register, which since 1 January 2026 are arranged together with registration

  • The company stamp, if you want one: a seal is no longer required at registration

Foreign founders: what we handle

A foreign founder can register a company in Uzbekistan and own it outright. What makes the case different is the document set and the order in which things must happen, and that is the part we take over.

  • A PINFL (personal identification number) for each foreign individual founder and, where the founder is a company, for its beneficial owner
  • A digital signature obtained in Uzbekistan, which a foreign founder must use to confirm participation in the filing
  • For a corporate founder abroad: proof from its home registry of who is authorized to act for it, and a power of attorney for us or your local representative, apostilled or legalized so the registrar accepts it
  • Charter capital structuring: cross the 400 million soum line (half that in Karakalpakstan and Khorezm) and the company counts as an enterprise with foreign investment, which changes the rules for the first director
  • A foreign director: an enterprise with foreign investment gets a three-month window after the employment contract to complete the director's work permit confirmation; any other company needs the confirmation before the director starts. We obtain it ($100 per application)
  • The bank account, which a company with foreign founders opens at the bank in person: we prepare the bank's file and accompany the visit
  • A business visa for the trip and an employment visa once the director is hired ($100 per application each)

The fee is fixed in writing before work starts. The quote states the work, any third-party charges, applicable taxes, the invoicing currency and payment dates. Extra assignments are priced separately, never added silently.

Decisions we help you make before filing

Four choices in the application are hard to undo cheaply. We go through them with you before anything is submitted.

Legal address

The registrar wants a real location with a cadastral number; a founder's own home in Uzbekistan has been acceptable since March 2024. The catch is VAT: the tax office treats residential or undersized premises (under 18 square meters of office space per company) as a nominal address, a tax-risk marker that can block VAT registration. We test your address against these rules before filing, or provide one that passes them.

Charter capital

An ordinary LLC has no minimum. What matters is the payment deadline: the founding documents set it, the law caps it at one year, and capital still unpaid after that forces a reduction or liquidation. Contributions in kind above about 4.4 billion soums need an independent valuation. We size the capital and the payment schedule around your plans: foreign investment status, what the bank expects and what you can actually fund.

Tax regime

Companies expecting under about 5.3 billion soums of annual income can elect turnover tax at 4%, unless the activity is excluded (excise goods, pharmacies, jewelry and a few others). Above that line VAT and corporate income tax apply by law. A company that crosses over for the first time in 2026 gets a year without corporate income tax and a year without VAT bookkeeping penalties, which affects when a switch makes sense. Licensed activities

The charter does not limit what an LLC may do, but a licensed activity cannot start until the license is issued. We check your planned activity against the list of activities requiring a license and, where one is needed, handle the license application alongside registration.

Re-registration: changes after registration

Registration data does not stay still: founders change, capital is increased, the office moves, a director is replaced. Each change must be re-registered within a statutory deadline, and we handle it for companies we registered and for those we did not. The deadlines are short: ten days for a new address, thirty for anything that touches the founding documents (name, legal form, charter capital, who the founders are), for share transfers and for reorganizations. What we do:

  • The founders' decision or general meeting minutes and the amended charter, or a new version of it
  • Share transfers and the admission or exclusion of participants, with each founder's consent collected through the Unified Identification System
  • A new address filed as a notification (possible unless tax arrears exceed about 132 million soums), plus the bank details update
  • Change of director, including the work permit confirmation where the new director is a foreign national
  • Filing on the portal: simple changes come back the same hour; capital and share changes take up to two working days, or two hours if expedited

Existing licenses and permits follow the new name, address or legal form automatically, at no cost. A late address or bank-details change costs the responsible officer a fine of roughly 4.4 to 6.6 million soums, so we file as soon as the decision is signed. If the change is closing the company, our liquidation service takes over from here.

Frequently asked questions

What is included in the $200 fee?

The agreed LLC setup work: founding documents, filing, tax-regime selection and coordination of the initial bank and access steps. Government charges and the separately priced services in the table are additional. We specify the final package before starting.

How long does the whole process take?

Registration itself is a matter of minutes once the filing is in. Budget 1–3 weeks for preparation: the name reservation, the founders' document set and, for foreigners, the PINFL and digital signature that have to be issued locally.

Can a foreigner own 100% of an Uzbek LLC?

Yes. A foreign individual can be the only founder; the PINFL and digital signature we obtain for them are the only local prerequisites. A foreign company can be the only participant too, unless that company itself has a single owner (a one-shareholder joint-stock company is the exception). PINFL, documents and visas are what our service handles.

Do I need a legal address before registering?

Yes. The registrar wants a real location with a cadastral number; since March 2024 a founder's own home in Uzbekistan is accepted, though a future VAT payer needs commercial premises. Our virtual address ($200/month) covers it from day one, so you can register before you have an office.

Do I need to come to Uzbekistan to register?

Not necessarily for the filing: founders sign through the identification system with a digital signature, and an apostilled power of attorney lets us act on your behalf. A company with foreign founders opens its bank account at the bank in person. We tell you exactly what can be done remotely in the one-business-day assessment.

Is there a minimum charter capital?

Not for an ordinary LLC, and the founders have up to a year to pay it in. Foreign-founded companies that put in 400 million soums or more (half that in Karakalpakstan and Khorezm) qualify as enterprises with foreign investment, which eases the work permit rules for a foreign director.

Which tax regime should I choose at registration?

You choose it in the registration application. Companies expecting under about 5.3 billion soums of annual income can elect turnover tax at 4%; above that line VAT and corporate income tax apply by law. The choice is not final: you can switch to VAT and corporate income tax from the next month, but moving back to turnover tax is only possible after a year on the general regime. We advise on the choice within the fee.

Does the company need a seal or stamp?

Not for registration: seals became optional. A company can order one afterwards, and we arrange it if you want one.

What about IT Park residency?

If your activity qualifies, we prepare the IT Park application for $100 alongside registration.

Which changes have to be re-registered?

A new address within ten days; a new name, legal form, charter capital, founder list, share transfer or reorganization within thirty. We prepare the decisions and the amended charter, collect the founders' consents and file, for companies we registered and for those we did not.
