Changes to company registration

Any change to the registered information of a business entity is subject to state re-registration, in particular:

• change of location (postal address)
• changes in constituent documents, including company name, the amount of charter capital, the composition of shareholders
• changes in the shares of shareholders
• reorganization

The following documents should be submitted together with an application for the registration of company changes:

• decision of the authorized governing body of the business entity on amendments or additions to the constituent documents
• renewed constituent documents in the Uzbek language
• document on full contribution of the charter capital declared in the constituent documents (bank certificate, customs document, property acceptance certificate, etc.) - when increasing the size of the charter capital
• document (agreement, letter, succession, inheritance, court decision, etc.) confirming the transfer of a share - when transferring a share from a shareholder to another shareholder
• a separation balance sheet - for reorganization in the form of company separation
• a transfer act - for reorganization in the form of accession or transformation

State fees shall be paid for the registration of company changes.
